Albioma attaches a significant importance to ensuring effective governance of the Group at the very highest level, and we make certain that we apply the best practices set out in the Code of Governance for Listed Companies published by the business associations AFEP and MEDEF.

The Board of Directors

Of the 9 Directors serving on our Board of Directors, 5 are independent Directors who offer the Group top-level skills and experience gained in a diverse range of business environments. They provide permanent ongoing supervision of our business activities, and work with the Chief Executive Officer to determine our strategic focus and priorities.

Born on October 16, 1954, a former student of the École Polytechnique and Civil Engineer of the Ponts et Chaussées, Jacques Pétry spent more than 25 years working in the water and environment sector. In 1996, he was appointed Chairman and Chief Executive Officer of SITA and, in 2001, Chairman and Chief Executive Officer of Suez Environnement. In 2005, he became Chief Executive Officer of Sodexo Europe Continentale et Amérique Latine. Then, as from 2007, he advised investors in the environment and energy sectors as a Managing Director at Royal Bank of Scotland and then as independent consultant, and served until 2011 as Chairman of the Supervisory Board of Idex, a company which specialises in energy-related services. He joined Séchilienne-Sidec, which became Albioma, in 2012 as Chairman and Chief Executive Officer and is, since 2016, Chairman of the Board of Directors.

Michel Bleitrach was born on July 9, 1945. He is a graduate of the Ecole Polytechnique and the Ecole Nationale des Ponts et Chaussées, and also holds a degree in economic sciences and an MBA from Berkeley University, California. He began his career in the engineering group Bechtel, before joining the French Ministry of Infrastructure, where he managed a number of large development programmes. He then held a range of positions within the Elf Aquitaine Group (production-exploration, chemicals and industrial development). Between 1989 and 2003 he occupied several key positions with Lyonnaise des Eaux and then within the Suez group (Chairman and Chief Executive Officer of Elyo and Suez Industrial Solutions). Michel Bleitrach has advised industrial and service groups as a consultant since 2004. He served as Chairman and Chief Executive Officer of Keolis between 2006 and 2012. In 2012 he was appointed Chairman of Hime, the parent company of the Saur group. He joined Albioma’s Board of Directors in 2006 and was appointed Deputy Chairman of the Board of Directors in 2011.

Frédéric Moyne, aged 40, is a graduate of the Hautes Études Commerciales (HEC) business school. Frederic started his career at Air Liquide in 1998. In 2001, he joined Séchilienne-Sidec, which became Albioma, where he was in charge of Financing and Purchasing, then Director of Financing and Investor Relations. In 2012, he was promoted to Chief Operating Officer in charge of Renewable Energies and Group strategy. He has been in charge of the Group's activities in Brazil since July 2013, and has been nominated Chief Executive Officer in June 2016. He joined the Board on 31 May 2017.

Jean-Carlos Angulo was born on April 13, 1949. He is a graduate from Ecole Nationale Supérieure des Mines de Nancy (1971) and Institut Européen d’Administration des Affaires. He was Project Engineer at Société Européenne de Propulsion (SEP) from 1971 to 1974, and then joined the Lafarge group in 1975. He served as Project Director before taking responsibilities in a number of subsidiaries and areas of activities in Brazil (Manager of Lafarge Consulteria e Estudos, 1981-1984, Chief Executive Officer of Cimento Mana and Chief Executive Officer of Lafarge for the South corner of Latina America, 1990-1996). Jean-Carlos Angulo was Chairman and Chief Executive Officer of Lafarge Ciments France from 1996 to 1999, and then was appointed Deputy Chief Executive Officer of the Lafarge Group in 2000. In 2007, he became a member of the Lafarge Group Executive Committee and then in 2012 Deputy Chief Executive Officer in charge of Operations. He joined Albioma as Director on May 30, 2013.

Émilie Brunet, who was born on 26 November 1982, is a graduate of ESCP Europe business school. She has 11 years’ experience in finance and private equity. She spent five years with Oddo & Cie as a financial analyst, providing listed European countries in the food and beverages sector with investment recommendations. In 2010, she joined the FSI (Fonds Stratégique d’Investissement) and subsequently Bpifrance, where she currently holds the position of Investment Director in the Mid & Large Caps Division. Although Émilie Brunet has a more generalist profile, she has considerable experience of the energy sector, and more specifically of making and managing investments in the oil services and renewable energies sectors. She represented Bpifrance on the Supervisory Board of the Vergnet group between 2012 and 2016, and is currently an advisory member of the Eren Renewable Energy’s Board of Directors. Émilie Brunet joined Albioma since 31 May 2017 as a permanent representative of Bpifrance Investissement in its capacity as Director.

Born 5 April 1971, Marie-Claire Daveu began her career as a senior civil servant in the field of agriculture and the environment, serving as a Technical Adviser to Prime Minister Jean-Pierre Raffarin before being appointed Principal Private Secretary to Serge Lepeltier, Minister of Ecology and Sustainable Development, in 2004. She joined Sanofi-Aventis Group in 2005 as Head of Sustainable Development. From 2007 to 2012, she served as Principal Private Secretary to Nathalie Kosciusko-Morizet, first within the Ministry of Ecology, then the Ministry of Forecasting and the Digital Economy, and lastly, within the Ministry of Ecology, Sustainable Development, Transport and Housing. In September 2012, Marie-Claire Daveu was appointed to her current position as Chief Sustainability Officer, Head of International Institutional Affairs at Kering group. She is also a member of Kering group’s Executive Committee. Marie-Claire Daveu, who is 44, is a graduate of the Paris Grignon National Institute of Agronomy (INA PG) and of the National School of Rural Engineering, Water and Forests (ENGREF). She also holds a DESS advanced studies degree in Public Administration from Paris Dauphine University. She joined Albioma as a Director on 28 May 2015.

Valérie Landon was born on 17 August 1962. After graduating from École Centrale de Paris, she began her career as an engineer with Air France in 1985. She joined Credit Suisse in 1990 as an Investment Banker. After having worked mainly in Paris and Tokyo, she became Managing Director in 2000 and, in 2003, Co-Head and then Head of Investment Banking France, Belgium and Luxembourg. She has been Vice-Chairman, Investment Banking & Capital Markets of Credit Suisse in Europe since 2015. Valérie Landon joined Albioma as Director on April 13, 2016.

Ulrike Steinhorst dedicates at present most of her time to her non-executive Board memberships of Valeo (where she also chairs the Governance and Remuneration Committee) and Mersen (where she also chairs the Strategy Committee). Aged 65, of German nationality, she started her career in France as an advisor to the French Minister of European Affairs, in charge of relationships with Germany, during the German re-unification process. Between 1990 and 1998, she held different positions at the French utility EDF, both functional and operational. She changed the company and the industrial sector when joining the German chemical group Degussa in Germany in 1999. Head of human resources of one of the 3 Divisions during 2 years, she was appointed head of leadership development at Group level in 2001. She took over the responsibility for the French affiliates of Degussa Group in 2003 and headed also the representative office of the Group in Brussels. From April 2007 to May 2012, Ulrike Steinhorst worked closely with CEO Louis Gallois as his Chief of Staff at the helm of EADS. In June 2012, she joined the Corporate Technical Office as Head of Strategy, Planning and Finance. Her last assignment at Airbus was SVP, Senior Advisor to the Corporate Technical Officer. Ulrike Steinhorst is a German lawyer (Ass. Iur.) and holds a master in business administration from CPA/HEC. Graduated from the University Paris II Panthéon in public law, she is also a former student of École Nationale d’Administration. She joined Albioma as Director on September 19, 2017.

A graduate of the École des Hautes Études Commerciales (HEC) and Harvard Business School, Maurice Tchenio started his career as Assistant Professor of Finance at HEC, before joining the Institute of Industrial Development (IDI) as Project Manager. In 1972, he was one of the three co-founders of Apax Partners, where he served as Chairman and Chief Executive Officer of the French branch from 1972 to 2010. He is one of the founders of AFIC, the French Private Equity Association, and is a former director of the European Venture Capital Association. In 1995 he founded Altamir, and has served as its Chairman and Chief Executive Officer since that date. In 2010, he set up a foundation with public charity status called AlphaOmega. Maurice Tchenio joined Albioma (then called Séchilienne-Sidec) as a Director in 2011. Since 24 June 2015 he is permanent representative of Financière Hélios in its capacity as Director.

The specialized Committees

The work of the Board of Directors is prepared by the specialized Committees stemming from the Board, all of which are chaired by independent Directors.

  • The Commitments Committee prepares resolutions to the Board of Directors regarding company engagements and developments. It is chaired by Jean-Carlos Angulo.
  • The Audit, Accounts and Risks Committee has responsibility for reviewing the Group’s financial statements and addressing the major accounting and financial issues involved. It also plays an important role in monitoring risks and our internal compliance and audit systems. This Committee is chaired by Michel Bleitrach.
  • The Nomination and Remuneration Committee plays a decisive role in reviewing the remuneration paid to executive Directors, as well as general pay policy throughout the Group. It also consults on major governance issues and contributes to the process of appointing Directors and senior executives. It is chaired by Ulrike Steinhorst.
  • Formed in 2012, the Corporate Social Responsibility Committee monitors the major issues relating to the Group’s social and environmental responsibilities. This Committee is chaired by Marie-Claire Daveu.
